Clear Terms for a Transparent Working Relationship
These Terms and Conditions explain how the Appkod AU website may be used and the general conditions that apply when we provide SEO, digital marketing, website or related services.
These terms apply to website visitors, prospective clients and clients.
The date should be updated whenever a material change is published.
Questions can also be submitted through the Contact Us page.
A Straightforward Explanation of How We Work
These terms apply to use of this website and, where relevant, services supplied by Appkod AU.
A signed proposal, quotation, statement of work or service agreement may contain additional project-specific terms. If a conflict exists, the specifically agreed written document will apply to that project.
This is a general business template and should be reviewed by an Australian legal professional after your final business name, ABN, state, payment terms and cancellation policy are confirmed.
Important Information for Website Users and Clients
The sections below explain website use, service delivery, payments, responsibilities, ownership, cancellation and legal protections.
Acceptance and Permitted Website Use
By accessing this website, submitting an enquiry, approving a proposal or purchasing services, you agree to these terms to the extent that they apply to you. If you do not agree, you should stop using the website and should not engage our services.
You may use this website for lawful personal or business purposes. You must not damage the website, interfere with its operation, attempt unauthorised access, introduce harmful code, scrape or republish substantial content without permission, or submit false, abusive, misleading or unlawful information.
We may restrict access where reasonably necessary to protect the website, our systems, our users or our legal rights.
Services, Scope and Client Responsibilities
Our services may include SEO audits, technical SEO, on-page SEO, local SEO, eCommerce SEO, content recommendations, reporting, website improvements and related digital services.
The exact scope, deliverables, fees, timing and included revisions will be stated in the accepted proposal, quotation, invoice, statement of work or other written agreement.
The client agrees to:
- provide accurate, complete and current business information;
- provide required website, hosting, analytics or platform access;
- obtain authority before sharing access to third-party accounts;
- review and approve content or changes within a reasonable time;
- ensure supplied materials do not infringe another person's rights; and
- maintain suitable website backups unless backup services are expressly included.
We are not responsible for delays or reduced performance caused by missing access, incorrect information, delayed approvals or client actions outside the agreed process.
Fees, Payment, Scope Changes and Delays
Fees, currency, taxes, deposits and payment dates will be shown in the relevant proposal, invoice or written agreement. Unless agreed otherwise, invoices must be paid by the stated due date.
We may pause work or withhold unfinished deliverables while an invoice remains overdue, after providing reasonable notice. Third-party costs such as advertising spend, paid software, plugins, hosting, stock assets or subscriptions are excluded unless the written scope says otherwise.
Additional requests or changes to an approved direction may require a revised fee, scope or completion date. Estimated timelines may also be affected by client response times, website condition, platform changes, outages, security incidents and events outside our reasonable control.
Refund and cancellation requests will be handled under the accepted written agreement and applicable Australian law. Nothing in these terms removes rights that cannot legally be excluded.
SEO Results and Third-Party Platforms
SEO performance depends on factors outside our control, including search-engine updates, competition, website history, technical condition, content quality, market demand and client implementation.
We do not guarantee a specific ranking, traffic level, lead volume, revenue figure or completion date for search results unless an accepted written agreement expressly states otherwise.
Our work may rely on third-party platforms such as Google, Bing, WordPress, hosting providers, analytics tools, plugins, eCommerce platforms and advertising networks. Those providers control their own systems, policies, prices, availability and algorithms. We are not responsible for their independent changes, outages, suspensions, data loss or decisions.
Intellectual Property and Confidentiality
Our existing materials
We retain ownership of our pre-existing methods, templates, processes, know-how, tools, code libraries and reusable materials.
Client materials
The client retains ownership of materials it supplies and grants us limited permission to use those materials to provide the services.
Project deliverables
Ownership or licence rights for final deliverables will be governed by the accepted written agreement. Unless agreed otherwise, final deliverables specifically created and paid for by the client may be used by the client for its business, while our underlying methods and reusable materials remain ours. Third-party assets remain subject to their original licence terms.
Confidentiality
Each party should protect confidential information received from the other and use it only for its intended purpose. This does not apply to information already public, lawfully known without restriction, independently developed or required to be disclosed by law.
Suspension, Cancellation and Termination
Cancellation periods, minimum commitments and notice requirements will be stated in the relevant proposal or service agreement.
Unless agreed otherwise, either party may request termination in writing. The client remains responsible for approved work completed, committed third-party costs and services supplied up to the effective termination date.
We may suspend or terminate services after reasonable notice where there is serious non-payment, unlawful activity, abusive conduct, misuse of access, material breach or an unacceptable security risk.
Payment, confidentiality, intellectual property and liability terms intended to continue after termination will remain in effect.
Australian Consumer Law and Liability
Our services come with rights and guarantees that may apply under the Australian Consumer Law. These may include guarantees that services will be provided with due care and skill, be reasonably fit for a disclosed purpose where applicable, and be supplied within a reasonable time where no time is agreed.
Nothing in these terms excludes, restricts or modifies any consumer guarantee, right or remedy that cannot lawfully be excluded, restricted or modified.
Where the law permits liability to be limited, our liability may be limited to supplying the services again or paying the reasonable cost of having the services supplied again.
To the maximum extent permitted by law, we are not liable for indirect, incidental, special or consequential loss, including loss of profit, revenue, opportunity, goodwill or data. This limitation does not apply where liability cannot legally be excluded or limited.
The client remains responsible for business decisions made using reports, recommendations, forecasts or other information we provide.
Privacy, Personal Information and External Links
We handle personal information in accordance with our Privacy Policy and applicable privacy requirements.
By submitting information through this website, you confirm that the information is yours to provide and is accurate to the best of your knowledge.
This website may link to third-party websites for convenience or reference. We do not control those websites and are not responsible for their availability, security, content or privacy practices.
General website information is not legal, financial, accounting or other regulated professional advice. Appropriate specialist advice should be obtained where required.
Changes, Governing Law and Contact
We may update these terms when our services, practices or legal obligations change. The updated version will be published on this page with a revised effective date and will apply prospectively unless the law or an accepted contract requires otherwise.
These terms are governed by the laws applicable in Australia, including mandatory consumer protections. Before formal proceedings, each party should make a genuine attempt to resolve a dispute through written communication and good-faith discussion, except where urgent relief is required.
